Terms of usage

Effective Date: May 31, 2024

IMPORTANT: Before using this software (MyTab), please read carefully this Agreement, which contains the terms and conditions under which you obtain a license to use MyTab. If you do not accept the terms and conditions of this Agreement, please do not use MyTab. If you access or use MyTab, you accept the terms and conditions of this Agreement and MyTab's Privacy Policy, Cookie Policy and Disclaimer. MyTab is protected by copyright laws and international copyright treaties and other intellectual property laws. If you are an agent or employee of another entity, you represent and warrant that
(i) the individual accepting this Agreement is duly authorized to accept this Agreement on behalf of and to bind such entity, and
(ii) such entity has full authority , corporate or otherwise, to enter into this Agreement and perform its obligations hereunder.

1. Definition

(i)"User" or "you" means the individual or business entity licensed by MyTab to use the Software;
(ii) "Effective Date" means the date User first installs the Licensed Software through the MyTab website or a third-party application, extension or add-on store (e.g. Chrome Web Store, Apple App Store, Microsoft Edge Add-on website, or Firefox Add-on website) component website;
(iii) “Licensed Software” means the web-based software extension named MyTab, which is proprietary software of MyTab;
(iv) “Licensee Data” means all electronic data or information submitted by User to the Service;
(v) “Service” means the provision of access to the Licensed Software for the purpose of transmitting Licensee Data;
(vi) "Usage Data" means data collected regarding a User's use of the Services. For example, how often users access their to-do lists, or which photos they like.

2. License and data

2.1 Software License Grant

Subject to compliance with all terms and conditions of this Agreement and payment of any applicable fees, MyTab grants User a royalty-free, non-exclusive, non-transferable license to download, install and use the Licensed Software as part of the Service.

2.2 Licensee Data

Licensee grants MyTab a non-exclusive license to access and modify Licensee Data as necessary to provide the Services.

2.3 Usage data

User agrees that MyTab has the right to collect Usage Data and create statistics and analyzes therefrom ("Derivative Data") in accordance with the Privacy Policy currently in effect.

2.4 Consent of children under 16 years of age

By using our Services, you represent and warrant that you are 16 years of age or older. No one under the age of 16 may use the Service, except as described below. MyTab is not directed to children and we expect that any use by children will be made only with the guidance, supervision and consent of their parents, guardians and/or authorized school officials. If you are under 16, you must obtain consent from a parent, guardian and/or authorized school official to use the Service. MyTab relies on parents and guardians to ensure that minors use MyTab only with an understanding of their rights and responsibilities set forth in these Terms of Service and our Privacy Policy. If you are an authorized school official in the U.S. or EU and want your student under 16 to create a MyTab account, you are responsible for complying with the U.S. Children's Online Privacy Protection Act ("COPPA") and, where applicable, the Home Education Rights and Privacy Act (“FERPA”) or GDPR Policy. This means that you must notify your student's parent/guardian of the personally identifiable information that MyTab will collect, and you will obtain parent/guardian consent before your student establishes an account or uses MyTab. When obtaining such consent, you must provide the parent or guardian with a copy of our Privacy Policy and keep all consents on file and provide them to us upon request. For more information about complying with COPPA, please see the Federal Trade Commission's website. If you are located outside the United States, we will rely on you to obtain the required consent or approval from the parents or guardians of any students covered by similar laws, and as a condition of your and your students' use of MyTab, you agree that you are responsible for compliance with such laws . If we discover that a child under 16 has provided us with personal information without the consent of a parent, guardian, and/or authorized school official, we will delete that child's account and information. If you become aware that a child under the age of 16 has provided Personal Information to MyTab without the consent of a parent, guardian, and/or authorized school official, please contact MyTab Support.

3.Technical support

3.1 MyTab’s technical support covers software installation, configuration, common problem solving during use, and consultation on MyTab-related functions and features. Users can contact our technical support team through Email, Help Center and other methods. We are committed to promptly responding to user requests and providing necessary help and guidance.

3.2 For problems reported by users, we will provide detailed solutions, which may include guiding users to perform specific operations, providing patches or updates, fixing bugs in the software, etc.

3.3 We will regularly release updated versions of MyTab to improve functionality, fix bugs and enhance performance. Users can get these updates inside the MyTab software or on our official website.

3.4 Our technical support services do not include hardware failures, network connection problems, third-party software or plug-in support, etc. We reserve the right to refuse support for issues that do not pertain to the MyTab software itself.

3.5 In the process of using MyTab, users should abide by the Terms of Use and Privacy Policy. We are not responsible for problems caused by improper use of MyTab by users, nor are we responsible for any loss or damage caused by improper operation of the client.

3.6 Basic technical support services are free. However, if users require more in-depth technical support or customized services, additional fees may be charged, which will be based on the nature of the service and the workload.

4. Limitation of Liability

4.1 To the maximum extent permitted by applicable law, in no event shall MyTab be liable to the user or any other person for any direct, indirect, incidental, special, punitive, exemplary or consequential damages, including but not limited to legal expenses, lost business, lost profits, lost revenue, loss or corruption of data, loss of computer time, cost of substitute goods or services, or failure to realize anticipated savings or any other commercial or economic loss arising out of or in connection with this Agreement , even if MyTab has been advised of the possibility of such loss or damage or if such loss or damage was foreseeable.

4.2 Your access to and use of the Products or any Content is at your own risk. You understand and agree that the Products are provided to you on an "AS IS" and "AS AVAILABLE" basis. WITHOUT LIMITING THE FOREGOING, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE MYTAB ENTITIES DISCLAIM ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT, EXPRESS OR IMPLIED.

4.3 MyTab’s entire liability and User’s sole remedy with respect to the software and technical support. For any other products or services provided by MyTab in connection with this Agreement, damages for any reason whatsoever, regardless of the cause of action, whether in contract or tort, including fundamental breach of contract or negligence, will be limited in the aggregate to the amount paid by MyTab to the User. MyTab makes claims regarding the software, technical support or services under this Agreement.

4.4 No advice or information, whether oral or written, obtained from any MyTab entity or through the Products shall create any warranty not expressly made herein. The MyTab Entities are not liable for any indirect, incidental, special, consequential or punitive damages, or any lost profits or revenue, whether direct or indirect, resulting from
(i) your access to or use of, or inability to access or use, the Site. , or any loss of data, use, goodwill or other intangible losses on the Products;
(ii) any conduct or content of any third party on, through or in connection with the Products, including without limitation any conduct or content of other users or third parties defamatory, offensive or illegal conduct;
(iii) any content obtained from the Products; or
(iv) unauthorized access, use or alteration of your transmissions or content.

5. Ownership

5.1 User acknowledges and agrees that the Licensed Software contains confidential and proprietary information and trade secrets belonging to MyTab and its licensors. User acknowledges and agrees that title and rights to the Software belong solely to MyTab and its licensors. User's rights in the Software are strictly limited to those granted in this Agreement. Users may not decompile, disassemble or otherwise reverse engineer the Software. If applicable law prohibits the foregoing, User will provide MyTab with advance written notice describing
(a) its intention to decompile, disassemble or otherwise reverse engineer the Software, and
(b) the nature of the work involved. MyTab will have the right of first refusal to perform such work at prevailing rates and prices.

6. Uninstall software

6.1 Uninstall browser extensions

In some cases, you may need to uninstall our extension. When users choose to uninstall our browser extensions, users can easily do so through their browser's extension manager. Uninstalling an extension will result in the functionality and features associated with our Services being no longer available. The user's bookmark data will remain in the relevant browser, but features related to our services, such as syncing bookmarks and other personalization settings, will no longer be in effect. Please note that uninstalling the extension will not delete the user's bookmark data, but we recommend that users back up their bookmark data before uninstalling to prevent accidental loss.

6.2 Delete web pages

For our web version, users can choose to stop using our services at any time. Ceasing to use our services will result in the user no longer being able to access their bookmarks and other personalization settings saved on our platform. We do not retain copies of user data, so once a user chooses to stop using our services, the user's data will be permanently deleted. We encourage users to export or back up their bookmark data elsewhere before stopping using our services to prevent data loss.

7. Term and Termination

7.1 The term of this Agreement will begin on the Effective Date and will continue to be in effect as long as the User uses the subscribed services, unless terminated earlier in accordance with this Section 7.

7.2 MyTab may terminate this Agreement if the User commits any breach of contract and fails to cure such breach within thirty (30) days after notifying the User. Termination of this Agreement will not entitle User to a refund of any amounts paid by User to MyTab nor affect any obligation that User may have to pay any unpaid amounts due to MyTab.

7.3 Upon termination or expiration of this Agreement, the user's right to use and access the Service will terminate immediately. Sections 1, 5, 6, 7.3 and 8 of this Agreement shall survive the expiration or termination of this Agreement.

8. General provisions

8.1 Don't give up

No delay or failure in exercising any right under this Agreement, or any partial or single exercise of any right, shall constitute a waiver of that right or any other right hereunder. Agreeing to a breach of any express or implied term set forth in this Agreement does not constitute consent to any subsequent breach, whether of the same term or of any other term.

8.2 Severability

If any provision of this Agreement is or becomes unenforceable, that provision will be severed from this Agreement and the remainder of this Agreement will remain in full force and effect.

8.3 Transfer

User may not assign or transfer this Agreement (whether voluntarily, by operation of law or otherwise) without MyTab's prior written consent. MyTab may assign this Agreement at any time without notice. This Agreement will be binding upon and will inure to the benefit of the parties and their respective successors and permitted assigns.

8.4 Applicable law and jurisdiction

The validity, interpretation, performance and resolution of disputes of this Agreement shall be governed by the laws of your place of residence. At the same time, we will take measures to ensure that your personal information is properly protected and will only transfer your personal information to these countries/regions as permitted by law. All disputes arising out of or related to the performance of this Agreement shall be resolved through friendly negotiation. If the negotiation fails, the matter will be submitted to the people's court with jurisdiction over the place where the company is domiciled for litigation.

8.5 Entire Agreement

This Agreement is a right of choice signed between the user and MyTab that is completely reciprocal and fair to both parties, that is, either party can choose to sign or not sign this Agreement without being forced. This agreement is an expression of intention elaborated after careful consideration by both parties. There is no situation where either party will unilaterally increase the other party's responsibilities or evade its obligations. Any party signing or committing to abide by this Agreement shall be deemed to have waived any challenge to the fairness of this Agreement. and supersedes all prior negotiations, commitments and understandings, whether oral or written, and any purchase order issued by User.
